Service Terms
I. About These Terms
Welcome to GUID.AI.
These Service Terms explain the agreement formed between you and the platform regarding service provision, service use, billing, service changes, service interruption, limitation of liability, handling of breaches, and dispute resolution during your use of GUID.AI platform services.
GUID.AI is a one-stop AI aggregation, creation, and access platform that currently supports or may support features such as AI chat, image generation, video generation, audio generation, Apps tools, the Inspiration Plaza, the work library, wallet top-ups, creator earnings, referral rewards, open APIs, Skills/MCP integration, FAQs/online customer service, and more. The capabilities available may vary by site, page, version, package, or period. Please refer to the actual display on the current page and the live system configuration.
If you do not agree with all or part of these Service Terms, please immediately stop registering, logging in, accessing, or using the platform services.
II. Definitions
Unless otherwise provided by the context, the following terms in these Terms shall have the meanings set out below:
Platform: GUID.AI and its related websites, frontend pages, console, API gateway, help documentation, FAQs, ancillary services, and operational pages.User: Any natural person, legal entity, or other organization that registers, logs in, visits, purchases, calls, or otherwise uses the platform services.Account: The identity registered, linked, or otherwise formed by a user on the platform, including usernames, email addresses, third-party login identities, and related login credentials.Services: AI generation, content hosting, work publishing, inspiration transactions, top-ups and spending, interface access, customer support, and other related capabilities provided by the platform to users.Computing Credits: The virtual unit of measurement used within the platform to display billing, consumption, settlement, rewards, or exchanges, usually displayed as⚡or a similar symbol.API Key: The access key created by a user for calling the platform's open interfaces.Upstream Services: Third-party models, inference services, cloud services, tool services, payment services, storage services, messaging services, or other external service capabilities connected by the platform.
III. Service Content
Services provided by the platform include but are not limited to:
- AI chat, multi-model collaboration, role assistants, and related text-processing capabilities;
- AI image generation, image editing, style transfer, reference-image creation, and similar image capabilities;
- AI video generation, video processing, motion reference, face swapping, outfit swapping, and similar video capabilities;
- AI audio generation, speech synthesis, voice uploads, and related audio capabilities;
- Apps tools, workflow-based tools, and result-generation capabilities;
- User asset uploads, work saving, work management, and sharing capabilities;
- Browsing, publishing, purchasing, bookmarking, liking, copying, and jump-to-create capabilities in the Inspiration Plaza;
- Wallet, top-ups, spending records, referral rewards, creator earnings, and similar capabilities;
- Open APIs, developer documentation, model access, call statistics, and API Key management capabilities;
- Skills/MCP and similar external tool, Agent, or IDE integration capabilities;
- Announcements, help documentation, FAQs, online customer service, and other support services.
Based on product strategy, compliance requirements, technical conditions, upstream capabilities, cost structure, risk-control needs, or operational arrangements, the platform has the right to add, adjust, restrict, replace, suspend, remove, or terminate the above services.
IV. Account and Access Eligibility
4.1 How Accounts Are Obtained
Depending on the capabilities open on the platform at the relevant time, users may register or log in through usernames and passwords, email verification codes, third-party OAuth login, or other methods opened by the platform in the future.
4.2 Eligibility Requirements
Users shall have civil capacity appropriate to their conduct and shall ensure that registration, linking, payment, settlement, and contact information is true, lawful, and valid.
4.3 Account Security Responsibility
Users shall properly safeguard their accounts, passwords, verification codes, login sessions, API Keys, and other access credentials, and shall be responsible for all operations, calls, spending, publishing, sharing, and other acts carried out through such accounts or credentials.
Any losses caused by password leakage, API Key leakage, weak passwords, account sharing, use of public devices, device compromise, network risks, or improper user management shall be borne by the user.
V. Rules for Using the Services
When using the platform services, users shall comply with laws and regulations, public order, good morals, and platform rules, and may not use the platform to engage in any of the following:
- Producing, copying, publishing, or disseminating unlawful, non-compliant, infringing, harassing, discriminatory, violent, pornographic, fraudulent, gambling-related, terrorist, hateful, or other improper content;
- Infringing the copyright, trademark rights, portrait rights, privacy rights, reputation rights, trade secrets, or other lawful rights and interests of others;
- Generating, disseminating, or selling deepfakes, identity impersonation, public-misleading content, or content imitating real persons or institutions;
- Interfering with the normal operation of the platform through vulnerabilities, scripts, automation programs, proxy pools, traffic-farming tools, reverse-engineering methods, stress-testing tools, or other means;
- Bypassing the platform's authentication, billing, rate limits, risk control, payment, permission, or model-access restrictions;
- Mass-scraping, copying, migrating, mirroring, or repackaging platform content or other users' content without authorization;
- Using the platform for any unlawful or criminal activity, or for high-risk, highly regulated, or professionally licensed scenarios without conducting human review.
The platform has the right to take measures such as verification, restriction, suspension, banning, content deletion, earnings freezing, or key disabling against abnormal access, abnormal calls, abnormal spending, abnormal earnings, abnormal sharing, abnormal referrals, abnormal registrations, or suspected violations.
VI. Service Availability and Reasonable Restrictions
6.1 Services Are Provided As Is
The platform services are provided based on current technical conditions, product capabilities, network environments, upstream services, and operational arrangements. Unless otherwise required by laws or regulations, the platform services are provided on an "as is" and "as available" basis.
6.2 Availability Is Affected by Many Factors
The response speed, stability, model availability, generation quality, call success rate, task completion time, output quality, and feature scope of the platform services may be affected by the following factors:
- The status of upstream model providers;
- Network quality, regional access environment, and carrier routes;
- Service load, concurrent traffic, caching, and rate-limiting strategies;
- User input content, file size, parameter configuration, and task complexity;
- Security policies, risk-control policies, review policies, and compliance requirements;
- The status of third-party payment, storage, object-processing, messaging, or OAuth services.
6.3 Reasonable Usage Restrictions
The platform may set access and usage limits on the services based on account level, package, subscription, model strategy, risk level, API Key permissions, page rules, frequency-control strategies, daily quotas, context length, file size, task count, concurrency, and similar factors.
VII. Top-Ups, Computing Credits, Subscriptions, and Billing
7.1 Billing Methods
Some platform services are provided free of charge, while some services may be billed based on models, number of requests, token usage, number of generations, generation duration, task type, task parameters, media type, concurrency level, inspiration purchases, subscription benefits, or other dimensions.
Specific billing standards are subject to the page display, call results, package descriptions, order pages, top-up pages, product pages, interface documentation, or announcement rules in effect at the relevant time.
7.2 Top-Ups and Crediting
Users may top up using payment methods supported by the platform. After a successful top-up, the corresponding computing credits, balance, or benefits will usually be credited to the relevant account. Due to payment channels, network conditions, risk control, reconciliation, upstream abnormalities, or system delays, crediting may be delayed.
Unless otherwise required by law or expressly stated by the platform, balances obtained through top-ups, gifted computing credits, promotional rewards, discount quotas, and other virtual benefits are generally limited to use within the platform services and do not support direct withdrawal or cash redemption.
7.3 Consumption and Deductions
When users launch generation tasks, call APIs, purchase inspiration, use advanced features, or trigger other paid services, the platform may perform pre-deductions, real-time deductions, post-settlement supplemental deductions, failure refunds, partial refunds, or reversal processing according to the rules.
If displayed amounts differ from the final bill due to technical failures, settlement delays, upstream callback differences, delayed logs, cross-system synchronization differences, or similar reasons, the platform has the right to make supplemental deductions, refunds, corrections, or re-settlement based on the actual call results.
7.4 Subscriptions and Benefits
If the platform provides subscriptions, packages, memberships, model benefit packs, promotional benefit packs, or other bundled services, the usage period, applicable scope, purchase limits, auto-renewal rules, upgrade and downgrade rules, stacking rules, and refund rules shall be subject to the actual page description.
VIII. Content Generation, Storage, and Publishing Services
The platform may provide users with capabilities such as content input, material upload, task creation, result generation, result storage, work management, public publishing, sharing, and inspiration transactions.
Users understand and agree that:
- Generated results are not automatically guaranteed to be accurate, complete, original, non-infringing, or suitable for a particular purpose;
- Publicly released works, inspiration, covers, tags, descriptions, prompts, or share-page content may be viewed, bookmarked, purchased, quoted, copied, screenshotted, or further created by other users;
- In order to provide the service, the platform may store, transcode, compress, cache, thumbnail, index, recommend, or forward content to upstream services;
- For content suspected of violating rules, infringing rights, involving major disputes, or otherwise unsuitable for continued display, the platform has the right to refuse generation, restrict display, take it down, delete it, terminate transactions, or take other necessary measures.
IX. API, Skills/MCP, and Developer Services
The platform provides developers with APIs, API Keys, interface documentation, model access, call statistics, and external integration capabilities. When using the relevant services, users shall also comply with the corresponding interface documentation, security requirements, rate limits, authentication rules, and model usage rules.
Users shall be responsible for the following matters:
- The creation, storage, disabling, rotation, and leakage risks of API Keys;
- Integration and calling behavior in downstream systems, Agents, IDEs, scripts, and automation tools;
- Compliance and copyright responsibility when externally providing redistributed APIs, SaaS services, bot services, or automation products;
- Compatibility handling and fault tolerance for call failures, format compatibility, model differences, rate limits, and changes in third-party dependencies.
Based on security, risk control, stability, compliance, overdue payments, abuse, or upstream requirements, the platform has the right to adjust or restrict API Keys, model access, call rates, call paths, and feature permissions.
X. Upstream Services and Third-Party Services
Some GUID.AI services depend on third-party upstream models, cloud services, object storage, payment services, email services, OAuth services, security services, monitoring services, and other external capabilities.
Users understand and agree that:
- The platform does not make any absolute guarantee regarding the continuing availability, stability, output consistency, or long-term compatibility of third-party services;
- Where service changes, interruptions, degradation, replacement, or termination result from third-party upgrades, rate limits, failures, downtime, interface adjustments, price changes, regional restrictions, or policy changes, the platform will handle the situation within a reasonable scope, but does not automatically assume unlimited liability;
- Some features, models, or page capabilities may become temporarily unavailable, require model replacement, or require price adjustments due to changes in third-party policies.
XI. Service Interruption, Suspension, and Termination
11.1 Circumstances That May Lead to Interruption
The platform may interrupt, suspend, restrict, or terminate all or part of the services for the following reasons:
- System maintenance, upgrades, migration, repair, or security hardening;
- Network failures, equipment failures, data-center failures, object-storage abnormalities, or database abnormalities;
- Unavailability of upstream model services, payment services, email services, or OAuth services;
- Force majeure, public emergencies, regulatory requirements, judicial orders, or administrative orders;
- User arrears, violations, infringement, abnormal risk-control findings, or major security risks;
- Platform business adjustments, feature removals, product strategy changes, or operational decisions.
11.2 The Platform's Handling Rights
In the above circumstances, the platform has the right to take the following measures according to actual conditions:
- Suspend or restrict access;
- Replace models, replace channels, or downgrade features;
- Delay the processing of tasks or stop accepting new tasks;
- Suspend top-ups, suspend withdrawals, suspend purchases, or suspend public publishing;
- Clear abnormal tasks, revoke abnormal earnings, or close high-risk entry points;
- Notify users within a reasonable scope through announcements, page prompts, in-site messages, or other means.
XII. Disclaimer and Limitation of Liability
To the maximum extent permitted by applicable law, the platform does not guarantee:
- That services will never be interrupted, error-free, delay-free, or absolutely secure;
- That any model, feature, API interface, or page entry will remain unchanged forever;
- That generated content will be absolutely correct, complete, commercially usable, enforceable, reviewable, or consistent with user expectations;
- That results generated by different models, different channels, on different dates, or in different regions will always be consistent;
- That all third-party services will remain stable over the long term and continuously compatible with the platform.
For losses caused by the following circumstances, the platform will claim exemption from liability or limitation of liability to the extent permitted by law:
- Risks arising from content that users input, upload, publish, call, share, or sell on their own initiative;
- Losses caused by users' failure to properly safeguard their accounts, passwords, verification codes, or API Keys;
- Third-party service failures, policy changes, interface adjustments, upstream rate limits, or regional restrictions;
- Force majeure, network failures, hacking, viruses or Trojan horses, or communication failures;
- Abnormalities in user devices, browsers, operating systems, or network environments;
- Users directly applying platform results to high-risk scenarios such as medical, legal, financial, automated control, or personal safety matters without human review.
Where the platform is legally required to bear liability, unless otherwise mandatorily provided by law, the scope of the platform's liability shall generally be reasonably limited to the platform service fees actually paid by the user that directly correspond to the specific service involved.
XIII. Handling of Breach
If a user violates these Service Terms, platform announcements, page rules, interface specifications, copyright rules, privacy rules, billing rules, or other applicable norms, the platform has the right to take one or more of the following measures depending on the circumstances:
- Issue warnings, reminders, or requests for rectification;
- Restrict login, calls, publishing, sharing, or purchases;
- Delete content, take works down, terminate transactions, or revoke campaign eligibility;
- Suspend accounts, freeze earnings, disable API Keys, or restrict model permissions;
- Refuse refunds, recover abnormal earnings, or seek compensation for losses;
- Provide necessary information to relevant rights holders, partners, or competent authorities;
- Pursue the user's liability for breach, infringement, or other legal responsibility in accordance with law.
XIV. Amendments to the Terms
The platform has the right to modify or update these Service Terms based on laws and regulations, regulatory policies, product upgrades, operational arrangements, business-model adjustments, changes in upstream capabilities, or risk-control needs.
The updated terms may be presented to you through one or more of the following methods:
- Registration pages, login pages, or announcement pages;
- Help center, FAQs, settings pages, or relevant service pages;
- Pop-up notices, in-site messages, emails, or other reasonable means.
If you continue to use the platform services after the terms are updated, you will be deemed to have accepted the updated content of the terms.
XV. Contact and Dispute Handling
If you have any questions regarding these Service Terms, specific service content, billing rules, account status, complaint handling, infringement disputes, or other matters, you may contact the platform through the following channels:
- Platform customer service;
- Help center / FAQ / support ticket channel;
- Other contact channels published on the page.
The platform will verify, process, and respond within a reasonable period.
Disputes arising from the use of the platform services shall first be resolved through friendly consultation by the parties. If consultation fails, the dispute may be resolved through lawful means in accordance with applicable laws and regulations and the actual business scenario.
XVI. Supplementary Notes
These Service Terms, together with the User Agreement, Privacy Policy, Copyright Notice, platform announcements, help documentation, FAQs, inspiration rules, creator rules, top-up rules, API access documentation, and other page descriptions, collectively form part of the platform rule system.
If there is any inconsistency among related rules in a specific scenario, the more specific, more recent, and scenario-specific published rule shall generally prevail.
XVII. GOVERNING LAW AND JURISDICTION
These Terms of Service and any separate agreements whereby we provide you shall be governed by and construed in accordance with the laws of England and Wales, excluding conflict of laws rules. All disputes arising out of or related to these Terms shall be subject to the non-exclusive jurisdiction of the courts of England and Wales.
