I. About This Agreement

Welcome to GUID.AI.

GUID.AI is a one-stop AI foundation model aggregation and creation platform for general users, creators, businesses, and developers. It provides services including but not limited to AI chat, image generation, video generation, audio generation, Apps tools, the Inspiration Plaza, wallet top-ups, API access, Skills/MCP integration, referral rewards, creator revenue sharing, and more.

This User Agreement explains the rights and obligations between you and the platform with respect to account use, service use, content publishing, computing credit consumption, revenue settlement, API access, limitation of liability, and handling of violations. Before using the platform services, you should carefully read all terms of this Agreement. If you do not agree to any part of this Agreement, please immediately stop registering, logging in, or using the platform services.

II. Definitions

Unless otherwise provided by the context, the following terms in this Agreement shall have the meanings set out below:

Platform: GUID.AI and its related websites, product pages, consoles, API gateways, clients, help documentation, and ancillary services.
User: Any natural person, legal entity, or other organization that registers, logs in, visits, purchases, calls, or otherwise uses the platform services.
Account: The identity created or bound by a user on the platform, including a username, email address, third-party login identity, and similar identifiers.
Computing Credits: The virtual unit of measurement used within the platform for billing, settlement, consumption, and reward display, usually shown as ⚡.
Work: Any text, image, video, audio, workflow output, or derivative content generated, uploaded, edited, saved, published, or shared by the user through the platform.
Inspiration: Works, prompts, parameter combinations, or creative solutions published by a user in the Inspiration Plaza that may be browsed, used, purchased, or adapted.
API Key: An access key created by a user on the platform and used to call the open APIs, typically beginning with sk-.
Skills/MCP: Capability access methods intended for Agents, IDEs, automation tools, or third-party clients.

III. Account Registration and Use

3.1 Registration and Login

Depending on the capabilities available on the platform at the relevant time, users may register or log in through any of the following methods:

Username and password;
Email verification code;
Third-party accounts such as Google;
Other methods later made available by the platform.

The registration methods available may vary across sites, pages, versions, or periods. Please refer to what is actually displayed on the current page.

3.2 Accuracy and Security of Account Information

Users shall ensure that the registration, binding, verification, payment, and contact information they provide is true, lawful, and valid, and shall properly keep their account, password, verification code, login session, API Key, third-party authorization information, and related credentials secure.

Any losses caused by the following circumstances shall be borne by the user:

Improper storage of the account or password;
Disclosure, lending, sale, or public display of an API Key;
Use of weak passwords, public devices, shared networks, or unsafe scripts;
Trusting others too easily or providing verification codes or authorization information to others;
Risks caused by the user's device, network, browser, or system environment.

3.3 Account Ownership and Restrictions

Accounts may only be used by the registrant or a party lawfully authorized by the registrant. Unless otherwise permitted by the platform in writing, users may not:

Lend, lease, sell, or transfer accounts;
Share accounts with an unspecified number of people for long-term use;
Use automated means to register accounts in bulk, farm accounts, perform credential stuffing, or steal accounts;
Impersonate another person or register using false information;
Use an account to engage in unlawful conduct, non-compliant conduct, infringement, cheating, traffic manipulation, arbitrage, or other improper behavior.

For security, compliance, risk control, or operational needs, the platform may verify, restrict, freeze, or otherwise handle abnormal registration, abnormal login, abnormal calling, abnormal payment, abnormal referral, or abnormal revenue behavior.

IV. Services and Rules of Use

4.1 Scope of Platform Services

The platform currently supports or may support services including but not limited to:

Text services such as AI chat, multi-model collaboration, role assistants, and web-enabled search;
Image services such as AI image generation, image editing, and reference-image creation;
Video services such as AI video generation and video task processing;
Audio services such as AI audio generation, speech synthesis, and voice-related services;
Apps tools such as face swapping, outfit swapping, style transfer, background replacement, and restoration;
Browsing, bookmarking, liking, sharing, publishing, purchasing, and secondary creation in the Inspiration Plaza;
Wallet, top-up, spending records, and earnings records;
Open APIs, API Keys, model calls, API documentation, and developer console;
Skills/MCP capability access;
Referral rewards, creator revenue sharing, announcements, help documentation, and other features provided by the platform.

The platform may, based on product strategy, technical conditions, upstream capabilities, compliance requirements, or operational arrangements, add, adjust, restrict, interrupt, remove, or replace service content, names, entries, models, prices, rules, and availability.

4.2 Requirements for Using the Services

Users shall use the platform services within lawful, proper, and necessary limits and may not use the platform to:

Produce, copy, publish, or disseminate content that violates laws, regulations, or public order and good morals;
Endanger national security, public security, social order, or the lawful rights and interests of others;
Generate or spread insulting, defamatory, discriminatory, harassing, pornographic, violent, terrorist, fraudulent, gambling-related, unlawful marketing, or other prohibited content;
Infringe the copyright, trademark rights, portrait rights, reputation rights, privacy rights, trade secrets, or other lawful rights and interests of others;
Generate deepfakes, impersonations, misleading content, identity-forgery content, or unauthorized portraits, voices, or identity-related content;
Attack, bypass, reverse engineer, crawl, stress test, manipulate traffic, exploit rewards, or otherwise abuse the platform, its models, APIs, payment systems, reward systems, risk control systems, or billing logic;
Interfere with the normal operation of the platform through automated programs, proxy pools, scripts, cracking tools, or similar means;
Use the platform for any unlawful, criminal, or high-risk scenario.

4.3 High-Risk Scenario Notice

Content generated by the platform is provided only as information, inspiration, decision support, or efficiency assistance and does not constitute professional advice, commitment, or guarantee of any kind. For high-risk scenarios involving healthcare, law, finance, securities, insurance, taxation, compliance, public policy, personal safety, automated control, and similar areas, users must conduct their own human review, professional judgment, and risk assessment.

V. Content Generation, Upload, and Publication

5.1 User Responsibility for Content

Users are fully responsible for all content they input, upload, generate, edit, publish, share, distribute, sell, or call, including but not limited to:

Prompts, text, images, videos, audio, source materials, covers, titles, tags, and descriptions;
Requests submitted through APIs or Skills/MCP and the returned results;
Free or paid content published in the Inspiration Plaza;
Content that is further processed or externally distributed based on platform content.

5.2 Warranty of Rights

Users warrant that they have obtained all necessary authorizations for any materials and content they upload, use, or publish and that such materials and content do not infringe any lawful rights or interests of any third party. If complaints, disputes, claims, penalties, litigation, or other risks arise from user content, the user shall resolve them independently and bear all resulting responsibility. If the platform suffers losses as a result, the platform shall have the right to seek recovery from the user.

5.3 Content Review and Handling

To comply with laws and regulations and to maintain platform governance, community order, and risk control, the platform may review, filter, restrict, block, remove, delete, or refuse to generate content, including but not limited to:

Content that is clearly unlawful or non-compliant;
Content involving infringement, complaints, or reports;
Content involving deepfakes, impersonation of public figures, identity forgery, or misleading the public;
Content suspected of facilitating fraud, black-hat or gray-market activities, cheating, or improper marketing;
Other content that the platform deems unsuitable for display, distribution, recommendation, or continued service.

5.4 Scope of Authorization for Public Release

When a user sets a work, inspiration, cover, title, description, or tag to public or publishes it in the Inspiration Plaza, the user is deemed to agree that the platform may display, recommend, rank, cache, distribute, use in operational showcases, use in product examples, and perform related technical processing of such content within the platform for the purpose of providing the service.

If the user sets a work as paid inspiration, the user also agrees that the platform may provide other users with functions such as purchase, use, copying, jumping into creation, and secondary generation in accordance with the rules shown on the page.

VI. Wallet, Computing Credits, Top-Ups, and Consumption

6.1 About Computing Credits

The platform uses Computing Credits (⚡) as its internal unit of consumption and settlement. Chat, images, videos, audio, Apps, inspiration purchases, API calls, certain advanced features, and other functions may consume computing credits.

Different models, task types, generation counts, quality levels, durations, asynchronous tasks, collaboration modes, summary models, routing strategies, and similar factors may correspond to different consumption standards. Please refer to the page display, order confirmation, API response, or the latest platform rules.

6.2 Top-Up Rules

Users may top up using payment methods supported by the platform. After a successful top-up, the corresponding computing credits are usually credited to the user's available wallet balance. Some tiers may include bonus credits; please refer to what is shown on the top-up page.

Unless otherwise required by law or expressly stated by the platform:

Top-up amounts may be used for consumption within the platform;
Top-up principal and bonus credits usually cannot be directly withdrawn;
Crediting may be delayed due to payment channels, networks, risk control, reconciliation, or upstream exceptions;
In the event of incomplete payment, order closure, refund, chargeback, or payment reversal, the platform may refuse to credit the amount or may reverse the credit.

6.3 Consumption and Deductions

When users use platform features, the system may deduct fees based on the selected model, capability, task parameters, or call volume. Actual billing methods may include but are not limited to:

Estimated display before generation;
Real-time deduction during generation;
Asynchronous task settlement by submission, successful completion, refund on failure, or final outcome;
Separate billing for participating models and summary models in multi-model collaboration;
API settlement by request, token, model, or task dimension;
Inspiration purchases billed according to the listed price.

If technical failure, settlement delay, delayed upstream callbacks, order reconciliation differences, or similar factors cause displayed charges to differ from the final bill, the platform may make supplemental deductions, refunds, corrections, or re-settlement according to the actual call results.

6.4 Balances and Records

Users shall monitor their wallet balance, consumption records, top-up records, earnings records, order status, task status, and API usage on their own. Bills, ledgers, statistics, overviews, details, and exports displayed by the platform may be used as the basis for users to understand their consumption and earnings.

VII. Creator Earnings and Referral Rewards

7.1 Creator Earnings

The platform supports the publication of free and paid inspiration. If other users purchase your paid inspiration, the platform may distribute earnings according to the page rules, campaign rules, or announcement rules in effect at that time.

The platform may adjust such arrangements based on campaigns, categories, settlement policies, tax compliance, channel costs, violation handling, and similar factors. The final rules shall be subject to the page description shown at the time of purchase, platform announcements, and settlement rules.

7.2 Referral Rewards

The platform may offer incentive programs for referral registration, first top-up referrals, repeat top-up referrals, and similar activities. Reward ratios, eligibility conditions, distribution timing, campaign periods, and anti-cheating rules shall be subject to the campaign page, referral page, announcements, or backend display in effect at the relevant time.

VIII. API, Skills/MCP, and Developer Rules

8.1 Developer Responsibility

When users use developer capabilities such as APIs, API Keys, Skills/MCP, automation tools, scripts, or application integrations, they must comply not only with this Agreement but also with the API documentation, calling conventions, security specifications, rate limits, model limits, whitelist restrictions, and other technical rules.

8.2 API Key Management

API Keys may only be used within a lawful and authorized scope. Users are solely responsible for keeping their API Keys secure and for all requests, calls, fees, results, and risks arising from use of those keys. If an API Key is disclosed, lost, stolen, or misused, the user should immediately disable, delete, or regenerate it.

8.3 Prohibited Conduct

Users may not use APIs or Skills/MCP to:

Bypass the platform's pages, billing, review processes, rate limits, routing, or security controls;
Resell, re-supply, mirror, or batch-forward the services to unauthorized third parties;
Conduct scanning, brute forcing, credential stuffing, penetration attempts, attacks, or traffic manipulation through the APIs;
Use the platform to infringe, harass, defraud, unlawfully scrape, or abuse data of third parties;
Violate the requirements of upstream model providers, third-party platforms, or applicable laws and regulations.

8.4 API Stability Notice

The platform may adjust model lists, available endpoints, parameter formats, response structures, rate limits, routing strategies, pricing, and service capabilities due to model changes, provider policy changes, upstream fluctuations, technical upgrades, maintenance, risk control, or compliance requirements. Developers shall independently implement compatibility handling, retries, degradation, caching, monitoring, and key management.

IX. Intellectual Property

9.1 Platform Rights

The platform's own trademarks, logos, page designs, software, code, documentation, API specifications, operational content, data organization, visual assets, and other legally protected content, along with the related rights, belong to the platform or the relevant rights holders in accordance with law.

Without prior written permission from the platform, users may not copy, distribute, adapt, reverse engineer, mirror, crawl, lease, sell, sublicense, or otherwise use platform content beyond the scope of reasonable use.

9.2 Rights in User Content

Users lawfully enjoy the legitimate rights they should have in their original content. However, in order to achieve the purpose of providing platform services, users agree to grant the platform a necessary, non-exclusive, and sublicensable right for affiliated service providers to use such content for storage, processing, display, review, distribution, recommendation, backup, adaptation, rights-protection evidence collection, and related product functionality.

9.3 Third-Party Rights

The platform aggregates multiple upstream models and third-party capabilities. Rights in related model names, brand names, third-party APIs, documentation, or materials belong to their respective rights holders. When using such capabilities, users must also comply with the corresponding third-party terms and applicable legal requirements.

X. Privacy and Data

The platform will process user information, account information, device information, log information, transaction information, call records, content data, and similar information in accordance with applicable laws, regulations, and the platform privacy policy for purposes including registration and login, identity verification, billing and settlement, security and risk control, customer support, product improvement, operations analysis, and compliance auditing.

Users understand and agree that:

The platform may retain necessary logs, call records, transaction ledgers, and risk-control records as needed for the service;
The platform may conduct automated detection, manual review, or compliance review of content;
In order to complete payment, login, storage, model calls, notifications, risk control, and similar functions, the platform may integrate third-party services;
Where required by law, regulation, supervisory authority, or judicial authority, the platform may lawfully provide necessary information.

Detailed rules for privacy protection are set out in the Privacy Policy published by the platform from time to time.

XI. Service Interruption, Change, and Termination

The platform may change, interrupt, restrict, suspend, or terminate all or part of the services under the following circumstances:

System maintenance, upgrades, migration, optimization, or fault repair;
Failures or adjustments involving upstream models, third-party services, payment channels, or cloud resources;
Changes in laws, regulations, policies, or regulatory requirements;
Urgent handling required due to security risks, abnormal access, abusive calls, or black-hat and gray-market behavior;
User violation of this Agreement, platform rules, or existence of serious risk;
Reasonable adjustments made by the platform based on operational arrangements.

The platform will make reasonable efforts to maintain service stability but does not guarantee uninterrupted service, absolute accuracy, absolute security, or complete satisfaction of all user expectations.

XII. Handling of Breach

If a user violates this Agreement, platform announcements, campaign rules, API documentation, community standards, or applicable laws and regulations, the platform may, depending on the nature and severity of the violation, unilaterally take one or more of the following measures:

Reminder, warning, or request for rectification;
Restriction of login, calls, generation, or publishing;
Removal of content, delisting of works, hiding of inspiration, or cancellation of recommendations;
Restriction on purchases, earnings, referral rewards, or withdrawals;
Disabling API Keys, freezing balances, reclaiming rewards, or recovering abnormal earnings;
Freezing or banning accounts;
Reporting leads to relevant competent authorities or judicial authorities, or cooperating with investigations;
Pursuing the user's legal liability and seeking compensation for losses in accordance with law.

If the platform suffers losses due to a user's violation, infringement, fraud, chargeback, complaint, litigation, penalty, third-party claim, or similar matter, the user shall compensate the platform for all resulting losses, including but not limited to damages, settlement amounts, fines, attorneys' fees, litigation costs, notarization fees, preservation fees, technical response costs, and reputational losses.

XIII. Disclaimer

Within the scope permitted by law, the platform states as follows:

AI-generated content may contain errors, deviations, omissions, hallucinations, instability, delays in timeliness, inapplicability, or similar issues;
Results may differ across models, upstream providers, time periods, and network environments;
The platform is not responsible for any business, investment, medical, legal, financial, personal safety, or other decisions made by users based on generated content;
To the extent permitted by law, the platform is not liable for service interruption, data delays, task failures, output deviations, delayed revenue settlement, delayed payment, or similar issues caused by force majeure, network failure, hacking, viruses, system upgrades, third-party service abnormalities, payment channel abnormalities, upstream API fluctuations, and similar circumstances;
Users should back up important data, prompts, works, keys, billing information, and business logic on their own, and the platform does not guarantee permanent retention of any particular data.

XIV. Modification of the Agreement

The platform may modify this Agreement and related rules from time to time as needed for product development, legal and regulatory compliance, regulatory requirements, business adjustments, or service upgrades. The revised Agreement may be notified to users through page publication, announcements, registration pages, login pages, the help center, FAQs, API documentation, or other reasonable means.

If a user continues using the platform services after an update to the Agreement, the user shall be deemed to have accepted the revised Agreement. If the user does not agree to the revised content, the user should immediately stop using the platform services.

XV. Governing Law and Dispute Resolution

The conclusion, effectiveness, interpretation, performance, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China.

Any dispute arising from this Agreement or the platform services shall first be resolved through friendly consultation. If consultation fails, either party may bring a lawsuit before a people's court with jurisdiction in the place where the platform operator is located, unless laws or regulations provide otherwise on a mandatory basis.

XVI. Miscellaneous

16.1 Composition of the Agreement

Together with this Agreement, the following content already published or later published by the platform constitutes the complete service rules:

The Privacy Policy;
Page notices, help documentation, FAQs, and announcements;
Top-up rules, withdrawal rules, referral rules, and creator revenue-sharing rules;
API documentation, calling conventions, rate limits, and security notices;
Prices, capability descriptions, campaign rules, and task descriptions displayed on each page.

16.2 Validity of Clauses

If any provision of this Agreement is held invalid or unenforceable for any reason, the validity of the remaining provisions shall not be affected.

If you have any questions regarding this Agreement, account issues, payment issues, infringement complaints, violation reports, or other service-related matters, you may contact us through the customer service, feedback entry, help center, or contact details provided in platform announcements.

One-Sentence Summary

Before using any GUID.AI service involving accounts, creation, inspiration, wallets, APIs, Skills/MCP, top-ups, revenue sharing, or referrals, you should confirm that you are legally qualified to use such service and that you are prepared to take corresponding responsibility for your own content, conduct, keys, consumption, and earnings; the platform, in turn, provides services and maintains order according to its published rules and has the right to handle violations and risky behavior.

XVII. Supplementary Notes

These Service Terms, together with the User Agreement, Privacy Policy, Copyright Notice, platform announcements, help documentation, FAQs, inspiration rules, creator rules, top-up rules, API access documentation, and other page descriptions, collectively form part of the platform rule system.

If there is any inconsistency among related rules in a specific scenario, the more specific, more recent, and scenario-specific published rule shall generally prevail.
